NW Tech Capital, Inc. Files the Acquisition Agreement to Purchase Teledigit, Inc. - Wednesday February 6, 9:00 am ET
VANCOUVER, WA and PORTLAND, OR-- The Board of Directors filed the acquisition agreement to acquire the Portland, Oregon-based telecommunications company Teledigit, Inc. with the SEC. Teledigit revenue for 2007 was approximately 1.74 million and was up 16% over 2006 revenue of 1.49 million. The filing discloses the terms and conditions of the acquisition of Teledigit, Inc. by NW Tech Capital, Inc.
The acquisition is subject (among other conditions) to an approval of a certified audit conducted by a PACOB certified public auditor. "We have started compiling the financials needed to supply to the public auditor. We feel the financial information should be ready to send to the PACOB certified auditor by the end of this week," states James Wheeler, CEO of NW Tech Capital, Inc.
The transaction will include a business and funding plan to expand the growth of Teledigit, Inc.'s current service offerings, as well as to introduce additional service offerings to the existing market that Teledigit, Inc. provides, such as; Data and Wireless networking and integration and engineering, providing a full scope of Telecommunication and Data networking services to include: Voice Over IP (VoIP), Telecom and data equipment sales and service, Wireless equipment sales and service; including integration and engineering services.
NW Tech Capital, Inc. not only wants to build on what Teledigit has started but will look for other qualified acquisitions that will complement the Teledigit acquisition. James Wheeler also states, "We will continue to look for other good solid companies that will fit with our growth strategy to build NW Tech Capital into a substantial player in voice, data and wireless solutions for our customers."
